Terms and Conditions - Client Sign-On Form for Scope of Services

Please read the following terms and conditions carefully before proceeding with our services. By signing this form, you acknowledge and agree to abide by these terms:

Scope of Services:

We ASAP agree to provide the following services to the client, as per the agreed-upon scope of work:

Payment Terms:

The client agrees to pay for the services rendered by ASAP as follows:

Invoicing: Invoices will be issued by ASAP seven (7) days before the end of each calendar month for the services provided during that month.

 

The invoice will include a detailed breakdown of the services rendered and the corresponding charges.

Payment Due Date: Payment for each invoice is due within seven (7) days from the date of receipt of the invoice.

Payment Methods: Payments can be made by EFT.

Late Payments: In the event of a late payment, ASAP reserves the right to charge a late payment fee of 20% additional or the maximum amount allowed by law, whichever is lower.

 

Continued late payments may lead to the suspension or termination of services.

Taxes and Fees: The client is responsible for any applicable taxes, duties, or fees levied by the government or financial institutions related to the services provided.

Confidentiality: Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement.

Termination: Either party may terminate the agreement by providing written notice to the other party.

Intellectual Property: Any intellectual property created or developed by ASAP during the provision of services will remain the property of ASAP unless otherwise agreed upon in writing.

 

Indemnification: The client agrees to indemnify and hold ASAP harmless from any claims, losses, damages, or expenses arising out of the client's use of the services provided.

Governing Law and Jurisdiction: This agreement shall be governed by and construed in accordance with the laws of South Africa. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in Johannesburg.

 

Amendments: Any changes or amendments to this agreement must be made in writing and signed by both parties.

 

Entire Agreement: This document constitutes the entire agreement between ASAP and the client and supersedes any prior discussions, negotiations, or agreements.

By signing this form, the client acknowledges that they have read, understood, and agree to all the terms and conditions outlined above.
